The Associate Corporate Counsel reports to and works with the EVP, General Counsel and Director of Compliance Risk.  This role assists the General Counsel in supporting the Bank’s Board of Directors, addressing a variety of legal matters including governance and legal administration.  This role also supports the Compliance team and manages the Bank’s examination process.

 

ESSENTIAL DUTIES

  • Works with the Board of Directors to assist with the preparation of materials for Board and Committee meetings.
  • Assists the General Counsel in the preparation of Board minutes and other materials.
  • Establishes, maintains, and organizes legal files for all corporate materials and legal agreements.
  • Works directly with regulators and Bank staff to ensure regulatory examinations and regulatory relations are properly managed.
  • Researches and analyzes statutes, regulations, legal articles, judicial decisions, and other legal and regulatory sources to assist the Bank’s business units and support functions in the execution of their respective responsibilities.
  • Works with internal and external counsel on corporate and legal matters.
  • Conducts legal research and provides legal advice to the Bank’s Compliance function and business unit managers regarding legal and/or regulatory issues.
  • Participates in the development and implementation of corporate policies and risk mitigation strategies and efforts.
  • Completes all online compliance training as assigned within specific due dates.
  • Performs other duties as assigned

 

MINIMUM REQUIREMENTS

  • Juris Doctorate from a U.S. accredited law school
  • Admission to a US State Bar in good standing
  • 2 to 5 years legal experience in a corporate legal department and/or financial institution
  • Excellent verbal and written communication skills.
  • Ability to work independently while under the guidance of the General Counsel and manage multiple projects at once.
  • Excellent interpersonal skills and the ability to establish and maintain collaborative relationships with team members, external partners, and regulators.
  • Excellent organizational skills and attention to detail.
  • Excellent time management skills with a proven ability to meet deadlines.
  • Ability to function well in a high-paced and at times stressful environment.
  • Proficient with Microsoft Office Suite or related software.
  • Excellent customer service skills
